concluded within 45- 60 days and is comprised of two phases.
Phase 1 is the overall strategic direction of the
offering.
Phase 2 is the implementation phase where we will prepare and
file all necessary documentation so you can begin to raise the
capital you require.

Determine Capital Requirements and
Valuation
Provide an understanding and substantiation of your companies
current value and identify immediate opportunities to increase
value.
Offering Terms
Work closely with management to structure offering terms that
satisfy the diverse needs of potential investors and your
company.
Determine Offering Type
Assist in evaluating the potential benefits and pitfalls of
the various offering types available.

PHASE 2 - IMPLEMENTATION
Legal Documentation
Prepare all offering documents; Private Placement Memorandum,
Subscription Agreements, Suitability Questionnaire and Promissory
Note.
Compliance
We will handle all compliance-related issues including the
completion of applicable federal and Blue Sky filings.
